Public offer of the «Railway Tickets» section

The present document is an official offer of the Limited Liability Company «New Travel Technologies» (the abbreviated name — NTT LLC) (hereinafter the «Operator») to enter into an agreement on the following terms.

The present document is a public offer (hereinafter the «Offer») pursuant to cl. 435 and part 2, cl. 437 of the Civil Code of the Russian Federation (hereinafter the «RF CC»).

The agreement shall be entered into through the acceptance of the Offer by the person, responding to the Offer of the Operator.

The actions of the person receiving the Offer, performed to follow the terms as specified herein, shall constitute the complete and unconditional acceptance of the Offer; the approval (acceptance) of the present Offer within the meaning of part 3, cl. 438 of the RF CC shall be deemed to be received (implicative actions).

The current version of the Offer is located at: https://www.tutu.ru/2read/legal_information/public_offer_railway/. The Operator may revoke the Offer at any time prior to its acceptance.

The Operator may change the Offer without any special notice to the client. The revised version comes into force upon its publication at https://www.tutu.ru/2read/legal_information/public_offer_railway/, unless otherwise provided by a revised version of the Offer.

Terms and definitions

Offer acceptance — complete and unconditional acceptance of the Offer by making actions as specified herein.

Agreement — an agreement entered into by the Operator and the Client on the terms of the Offer.

Order — the client’s request to receive the services of the Operator on execution and acquisition of the railway electronic travel document, duly drawn up and formed through the site and/or the application installed on the mobile device. The cost of the Order includes the cost of the railway electronic travel document and service charge of the Operator.

Client/Passenger — a legal individual person aged 18 who has entered into this Agreement and placed the Order to get the services of the Operator, specified on the site or in the application installed on the mobile device, which are connected with provision of information on the carriers and their services, execution and acquisition of the railway electronic travel document and its further acquisition by the Client in his name or on behalf of a third party (hereinafter the «Passengers») for the personal, domestic and other needs not related to business activities.

Website https://www.tutu.ru/poezda/ (hereinafter the «Site») — an independent complex multimedia object as defined in cl. 1240 of the RF CC, used by NTT LLC on legal grounds, representing a combination of interconnected texts, graphic elements, photo and video materials, software, including the cross-platform client/server applications, web systems, software modules (among them the software module «Trains»), databases, web-pages and other elements, algorithmically combined on the thematic, technical and functional criteria and intended to search, choose and pay for the railway electronic travel document, to bring the information to the public knowledge, to receive the information, for the exchange and other functions in the Internet network by applying to the domain or subdomains of tutu.ru. The exclusive right to the Site belongs to the developer. The Operator uses the Site on a non-exclusive basis.

Main Bridge Group LLC (PSRN 1027723001305, TIN 7723206493) is the administrator of the domain tutu.ru and the owner of the whole complex of rights to it. NTT LLC uses the domain tutu.ru on legal grounds.

Audit coupon of the railway electronic travel ticket (hereinafter the «Audit coupon») — an extract from the automated control system of the railway passenger transportation which is a strictly accountable document, used to carry out cash settlements and (or) credit card settlements without using the cash register equipment.

Personal account — an individual Client’s section on the Site protected by the authorization criteria where the information on the Order is stored, access to which is provided by input of the identification data (login and password). The Personal account is automatically linked to the e-mail address of the Client after the Order is made on the Site and/or in the application, installed on the mobile device, or after the registration of the Client on the Site.

Login and password — typesetting of the Latin letters and figures, required to access the Personal account, which in combination serve as Client’s identification data. The actions performed using the login and password of the Client shall be viewed as the Client’s actions.

Mobile application — a computer program aimed at installing and using it on the device which allows the Client to get access to the Site and perform actions by its means according to this Offer, including search, selection and payment of the railway electronic travel document.

Offer — this document «Public offer of the „Railway Tickets“ section» is the essence of the Agreement published on the Site, which doesn’t require to be executed in writing according to cl. 437 of the RF CC.

Passengers — individuals, in whose favor the transport agreements have been entered into.

Carrier — a legal entity or an individual entrepreneur which has entered into a liability to transport the passenger from the departure point to the destination point under the public rail transport agreement.

Software module «Trains» — software, a software-isolated part of the Site designed to execute the railway tickets both using the Site interface and software for installation and use on the mobile device, which allows the Client to make actions on search, selection and payment of the railway electronic travel document. The developer has the exclusive right to the Software module «Trains»; the Operator uses the module on a non-exclusive basis.

Developer — Globus Media LLC (PSRN: 1117746940013, TIN 7724813130) — a party of the project on creation and maintenance of the Skolkovo Innovation Center.

Service charge of the Operator (collected for execution, refund and other services of the Operator) — cost of services of the Operator as a part of total cost of the Order and/or cost of services of the Operator for refund of the railway electronic travel document and other services as agreed with the Client. The service charges of the Operator, collected earlier, are non-refundable when refunding the railway electronic travel document (except for the case provided for in paragraph 5.5. of this Offer). The service charge includes VAT at rate 18%.

Device — a tablet PC, a cellular, a smartphone, a mobile messenger or another device, allowing to use the Mobile application for its purpose.

Railway electronic travel document («E-Ticket») — a document certifying the contract of passenger railway transportation for long distance or suburban services, in which the information about passenger transportation is presented in digital form and stored in the automated passenger management system in rail transport.

1. General Provisions.

1.1. The Client’s Offer acceptance on the Website in the section «Complete the order» is carried out by putting a tick in the «I agree to terms of service of Tutu.ru, privacy policy and service charge of ...... rub (included in the price)» checkbox and by pressing the «All data is correct, proceed with payment» button.

By accepting the Offer, the Client agrees to all the terms in the Offer as used in this Agreement and is considered as a person who entered into contractual relations with the Operator in accordance with the RF CC. The Agreement shall be deemed concluded between the Operator and the Client in written form in conformity with the paragraph 3, cl. 434 and paragraph 3, cl. 438 of the Civil Code of the Russian Federation.

This Agreement shall be deemed concluded at the moment when the Offer acceptance becomes effective.

By agreeing with the terms of this Agreement, the Client acknowledges his rights, legal capacity and financial solvency and is also aware of the liability for the obligations imposed on him as a result of entering into this Agreement. The Client confirms the authenticity of his personal data, and the data of Passengers (third parties) and assumed full responsibility for the accuracy of this data, its completeness and reliability. The Client assumes all possible commercial risks (a new order execution, tariff change, refunding etc.) related to his wrongful actions due to errors and inaccuracies in personal data and/or the data of Passengers.

1.2. The provisions of the Civil Code of the Russian Federation, the Law of the Russian Federation No. 2300-1 of February 7, 1992 «On the Protection of Consumers’ Rights» shall be applied toward relations between the Client and the Operator. The provisions of the Order of the Ministry of Transport of the Russian Federation of July 23, 2007. No. 102 ″ On the establishment of forms of electronic travel documents (tickets) on railway transport«, the Decree of the Government of the Russian Federation of March 02, 2005 No. 111 «About approval of Rules of rendering services in transportations on the rail transport of passengers, and also loads, baggage and cargo baggage for the personal, family, house and other needs which are not connected with implementation of business activity», as well as other legal acts of the Russian Federation regulating the railway passenger transportation shall be applied toward relations between the Client or the Passengers and the Carrier.

2. Rights and obligations of the Operator.

2.1. The Operator provides information and technical capability to the Client to confirm, pay and/or refund E-Tickets by means of the Website and/or the Mobile application, if refund of E-Tickets is implied by the tariff terms. The Client independently determines the parameters of E-Tickets and pays for them during their order, thus, entering into civil-law relations with the Carrier.

2.2. The Operator collects the Service charge for e-ticketing services, as well as for other services ordered by the Client in accordance with the terms of the Agreement. The Service charge is included in the total cost of the Order and is non-refundable under any circumstances, including when refunding E-Tickets (except for the case provided for in paragraph 5.5 of this Offer).

2.3. The Operator may assist the Client through the support service by phone: +7 (499) 715-42-05 or +7 (800) 511-55-63 or through the feedback form on the Website.

2.4. The Operator reserves the right, at its sole discretion, to refuse to sell the E-Ticket.

2.5. The Operator reserves the right, at its sole discretion, to cancel the Order, if there are sufficient grounds to do so, including if there is lack of necessary data for the E-Ticket issuance, the signs of payment cards frauds, the Clients’s failure to complete the Order and/or payment procedure for the E-Ticket and other cases.

3. Rights and obligations of the Client.

3.1. The Client shall provide reliable personal data when placing the Order, both his own and other persons, for whom E-tickets are issued. The Client bears all risks associated with lack / inaccurate provision of the personal data of other persons, for whom the services are ordered, as well as with improper notification of the Passengers about conclusion / changing the terms of the transport agreement.

3.2. The Client must read the terms and conditions of this Offer, as well as the conditions of E-Tickets refunding and the tariff terms, including the special conditions of refunding, before proceeding with the payment on the Website or in the Mobile application.

3.3. The Client must, by his own means, inform the persons indicated in the Order and for whom E-tickets are issued, about the terms and conditions of the Agreement, entered into with the Carrier, and this Offer, about customs, passport, visa and other inspection requirements of the countries on the chosen route, including those concerning validity of identity documents, as well as the rules for carrying baggage, cargo and valuables.

3.4. The Client must read customs, passport, visa and other inspection requirements of the countries on the chosen route, including those concerning validity of identity documents, as well as the rules for carrying baggage, cargo and valuables. The Client / Passengers take(s) full responsibility for the preparation of all necessary travel documents, such as a visa or a valid passport, as well as travel documents for children.

3.5. By finalizing the Order, the Client confirms the correctness of his and / or Passengers data, his familiarization with the information posted on the Website and / or in the Mobile application, agrees with the final cost of the Order, including the Operator’s Service charge.

3.6. The Client’s or Passengers’ personal data must match the data provided in the identity document. If the personal data is provided in the document in two languages (Cyrillic and Latin characters), the information in the Order must be filled in with Cyrillic letters, when traveling inside Russia, within CIS countries, the Republic of Latvia, the Republic of Lithuania, the Republic of Estonia, and the Republic of Abkhazia. The information in the Order is filled in with the Latin characters when traveling to non-CIS countries.

The birth certificate is used only for citizens of the Russian Federation under the age of 14 years, when registering E-Tickets.

If the Client or Passengers identified a mistake in the personal data or the identity documents’ details, the Client must correct the mistake before the order is disbursed.

3.7. The Client undertakes not to disclose to the third parties the login and password specified during registration and / or execution of the Order, as well as data necessary for access to the Personal account, and takes measures to secure this information. If the Client has suspicions about the safety of his login and password or the possibility of their unauthorized use by third parties, the Client must immediately change the password in his Personal account.

4. Placing and paying the Order.

4.1. When the Client places the Order, the Operator provides him with the reliable and complete information on the Website concerning transportation conditions, the terms of the transportation agreement and other necessary information in accordance with the legislation of the Russian Federation.

4.2. The Client shall read all the terms of the Order in the process of its execution. If the Client does not understand any terms of the Order, including refund requirements and the tariff terms, he must specify the necessary information from the Operator.

4.3. For placing the Order, the Client must fill in the form correctly on the Website and / or in the Mobile application, and the Client is responsible for the accuracy, completeness and reliability of the data.

4.4. The order must be paid by one of the payment methods available on the Website and / or in the Mobile application. Acceptance of payments is carried out by payment systems that may refuse to accept payment.

4.5. Features of the bank card payment:

4.5.1. E-Tickets may be paid by Visa, Visa Electron, MasterCard, Maestro and by payment card of the national payment system Mir. Payment by bank card is carried out after order verification and confirmation with redirection to the payment gateway.

The Client guarantees that he is the holder of the bank card, with which the Order is paid, and shall be fully liable to the Operator for violating the said guarantee.

The Client is prohibited from paying by someone else’s bank card.

During payment, the Client, who is the holder of the bank card, must fill in the following card details: card number (without spaces), cardholder name, card expiration date, card verification number (СVV2 for Visa or CVC2 for MasterCard).

The transmission of this information shall be carried out with all necessary safety precautions.

The payment gateway meets the international security standards of Visa and MasterCard systems, the standard of high reliability PCI DSS 3.1. The confidentiality of the payment details, specified by the Client, is protected by a security technology (SSL).

If the issuing bank of the Client supports 3D Secure technology, then the issuing bank may require the Client, who is the holder of the bank card, to undergo additional identification when paying the Order, in accordance with the requirements of 3D Secure technology. The need for additional identification and its method are specified by the issuing bank or the payment gateway.

Payment is considered completed after the authorization of the Client’s bank card by the issuing bank. The Operator reserves the right to request additional identity documents of the Customer in order to confirm the eligibility of using the bank card and in other cases.

4.6. By finalizing the Order, the Client agrees with the final cost of the Order, including the Service charge for booking E-tickets, with the terms of this Offer, the conditions of refunding, the tariff terms or the special conditions of E-Ticketing refunding, depending on the choice of the Client.

4.7. Within two hours after payment of the Order, the Operator sends the Audit coupon to the e-mail address, specified during ordering.

4.8. For the rail transportation of the Client / Passengers or their luggage, it is necessary to check in at the ticket office of the Carrier or on the Website. After e-registration on the Website, the Client receives the E-Ticket.

4.9. The transportation agreement shall be deemed concluded and the obligations of the Operator under this Agreement shall be fulfilled from the moment of issuance of the E-Ticket and sending the Audit coupon by the Operator to the e-mail address of the Client.

5. Refund of E-Tickets.

5.1. It isn’t possible to change any information on the E-Ticket or exchange it. In case of such necessity, the Client must refund the E-Ticket if it is implied in the tariff terms, and place a new Order.

5.2. The Client or Passengers shall make the refund of E-Tickets ordered and paid on the Website and / or in the Mobile application in accordance with the refund rules of Russian Railways JSC, “Conditions of Rail Carriage for Passengers, Baggage, and Cargo Luggage”, approved according to Order No. 473, issued by the Russian Ministry of Transport on December 19, 2013, as well as other legislative acts of the Russian Federation.

5.3. Refunds for unused E-Tickets and/or refund of the E-Ticket paid by a gift card, shall be issued upon the request of the Client or Passengers at a railway ticket office in the territory of the Russian Federation, or by the Client using the E-Ticket refund service on the Website or in the Mobile application, if the refund of the E-Tickets is implied in the tariff terms.

5.3.1. Refunds for E-Tickets on the Website is possible only if the Order is paid by a bank card, Yandex.Money, PayPal, Webmoney or a gift card. Refunds for the E-Ticket on the Website is possible only until the Client and / or Passengers receive(s) travel documents issued on a ticket form of Russian Railways JSC. After receiving a boarding pass on a ticket form at a railway ticket office or at a self-service terminal, no refund of the E-Ticket on the Website is possible. To request a refund in that case, it is necessary to contact a railway ticket office.

To refund the E-Ticket on the Website, the Client needs to sign in to the Personal account and click on the «Give a refund» button.

5.3.1.1. If the Client pays the E-Ticket with a bank card, the money will be refunded to this card within 30 (thirty) calendar days.

5.3.1.2. If the Client pays the E-Ticket with Yandex.Money, PayPal or Webmoney, the money will be refunded to the corresponding account within 60 (sixty) calendar days. If the Client pays the E-Ticket with a gift card, a new gift card of the same nominal value as the unused E-Ticket will be issued. If part of the cost of the E-Ticket was paid by a gift card and the other by a bank card, the sum paid by the card is refunded to the same card, and the sum paid by the gift card is refunded by a new gift card of the same nominal value.

5.3.1.3. If one Order includes several E-Tickets, the Client can refund them all together or only some of them.

5.3.1.4. If online check-in is not completed by the Client and / or Passengers, they can refund E-Tickets on the Website no later than the train’s departure from the boarding station of the Client and / or Passengers.

5.3.1.5. If online check-in is completed by the Client and / or Passengers, they can refund E-Tickets on the Website no later than 1 (one) hour before the train’s departure from its departing station. If there is less than 1 (one) hour left before the train’s departure, there will be no refund of the E-Ticket on the Website; however, it is possible to refund the E-Ticket at the ticket office of Russian Railways JSC.

5.3.2. Refunds for the E-Ticket at a railway ticket office in the territory of the Russian Federation shall be made to a Passenger for whom the E-Ticket is issued; however, refunds for the unused E-Ticket, issued via bank transfer or by using a payment card, shall be made to the bank account of a person who has paid the E-Ticket.

5.3.2.1. If the Client pays the E-Ticket in cash, refunds for the unused E-Ticket shall also be made in cash upon the request of the Client or Passengers at a railway ticket office in the territory of the Russian Federation.

5.4. In addition to the charges established by Russian Railways JSC, the Operator collects the Service charge for refunding the E-Ticket, which is withheld from such refund.

5.5. Special refund conditions apply only if the Client chooses such an option when placing the Order. When refunding the E-Ticket issued with special refund conditions, this can be done no later than one hour before the train’s departure or earlier; in such case, there will be no penalties for refund, the entire amount of the Order shall be refunded to the Client after partial deduction of the Service charge when special return conditions have been chosen.

6. Personal data.

6.1. By accepting the Offer, the Client provides the Operator with the following data, his and/or Passengers:

— Surname, name, patronymic (if any);

— Gender, date of birth;

— Contact phone number;

— E-mail address;

— Passport serial number or other identity document required to purchase the E-Ticket;

— Citizenship details.

6.2. By providing his and / or Passengers’ personal data, the Client gives the Operator permission for the processing and transferring his and / or Passengers’ personal data to the third parties in order to ensure proper performance of contractual obligations (including placing or refunding E-Tickets etc.). The Client also gives permission for the mixed (and automated) personal data processing, systematization, collection, storage, updating or modification, use, distribution, transfer to the third parties, depersonalization, blocking and elimination of personal data. The Client confirms that he has consent of all the Passengers specified in the Order, for the processing and transferring personal data to the third parties in order to ensure proper performance of contractual obligations (including placing or refunding E-Tickets etc.).

The Client also has consent of all the Passengers specified in the Order, for the mixed (and automated) personal data processing, systematization, collection, storage, updating or modification, use, distribution, transfer to the third parties, depersonalization, blocking and elimination of personal data.

If Passengers revoke their consent to the processing of personal data, and the Client has not notified the Operator thereof or if the Client has misinformed the Operator about Passengers’ consent and as a result the Operator has sustained losses, then the Client shall compensate the Operator for all losses incurred. The consent is valid within 10 (ten) years from the Offer acceptance by the Client.

6.3. The Operator shall not disclose the Client’s personal data. When the Operator transfers personal data to the Carrier in order to fulfill obligations to the Client, it shall not be considered as a violation of the obligation described above. The disclosure of personal data in accordance with reasonable and applicable requirement of laws shall not be considered as a violation of obligations.

6.4. The Client agrees to receive promotional materials of the Operator through the communication channels specified during the Order, including cellular, telephone and digital (e-mail) communications.

6.5. If the Client and / or Passengers do not wish their personal data to be processed and / or if the Client does not wish to receive promotional materials, they should send an e-mail to the support service of Tutu.ru at: info@tutu.ru, by using the e-mail address specified during the Order, or via regular mail: 115230, Moscow, 1st Nagatinsky passage, 10, build. 1, floor 12. If Passengers revoke their consent to the processing of personal data, all information received from the Client concerning Passengers shall be deleted within thirty calendar days from the date of receipt of the request. If the Client revokes his consent to the processing of personal data, all information received from the Client, including the login and password, shall be deleted within thirty calendar days from the date of receipt of the request, after which the Client shall not have access to the Website and the Mobile application.

7. Liability.

7.1. The Operator shall not be liable for any failure in the performance caused by:

7.1.1. Errors, provision of inaccurate personal and other data by the Client;

7.1.2. Malfunctions of the Website and / or the Mobile application and its components, including the automated passenger management system in rail transport;

7.1.3. Malfunctions in the computer security system of the Client.

7.2. The Operator may deny the Client’s access to the Website and / or the Mobile Application at any time without explanation. In this case, the Operator does not assume any responsibility for possible consequences of such a decision.

7.3. The Operator does not accept any complaints related to non-submission of necessary information to the Client, except in cases of proven misleading of the Customer by giving false information.

7.4. The Operator shall not be liable for the violation by the Client and / or Passengers of the customs legislation, passport, visa and other inspection requirements of the countries on the chosen route, including those concerning validity of identity documents, as well as the rules for carrying baggage, cargo and valuables, that caused adverse consequences, including losses for the Client and / or Passengers.

7.5. The Operator shall not be liable for any negative consequences and losses, resulting from events and circumstances beyond his competence, as well as for actions (inaction) of the third parties, namely:

— In case of impossibility of performance of his obligations due to inaccuracy, inadequacy and untimeliness of the information and documents provided by the Client, or violation of the terms of this Agreement or document requirements by the Client;

— For the actions of Carriers (changing, canceling, transferring, delaying the departure of the railway transport), as well as for the safety, loss or damage of baggage, cargo, valuables and documents of the Client and / or Passengers for the entire train journey. In these cases, the Carriers are liable to the Client and / or Passengers in accordance with international rules and current legislation of the Russian Federation. The complaints of Passengers are handled by the Carriers according to the legislation of the Russian Federation and the rules of international transportation;

— For the actions of customs and immigration authorities;

— Due to restriction on the Client’s and / or Passengers’ right to exit from the Russian Federation by the competent authorities or from other departure point by the competent authorities of the country concerned;

— For the actions of foreign consular offices, including for delay, refusal or change in the terms of issuing entry visas;

— For the consequences of violation by the Client and / or Passengers of customs and border formalities, baggage transportation rules, as well as violations of specific rules of behavior in a country of temporary residence;

— For the absence of travel documents of the Client and / or Passengers;

— For non-appearance/late arrival of the Client and / or Passengers to the point of departure of a train;

— For non-compliance by the Customer and / or Passengers with the rules of behavior in the train, set by the Carrier;

— For the absence of valid foreign passports of the Client and / or Passengers before the departure of a train (if necessary), the documents required for children transportation;

— For the authenticity and accuracy of the documents (reliability of the information contained in them).

7.6. The Operator’s liability to the Client is limited to the Service charge for issuing E-Tickets, charged during the payment.

7.7. The Carrier is liable to the Client in the manner established by the legislation of the Russian Federation.

7.8. The Client, who places the Order, is liable for the accuracy of travel details and his and / or Passengers’ personal data.

8. Force Majeure

8.1. The Parties shall be exempted from liability for non-performance or improper performance of the obligations arising by reason of Force Majeure, including but not limited to: fire, flood, earthquake and other natural disasters, military actions, strikes, terrorist acts, government regulations and other circumstances, for which the party is not liable and which can not be prevented.

8.2. The Party is obliged to immediately notify the other Party, if unforeseen circumstances make its obligations impossible to fulfill.

8.3. If such circumstances occur, the performance of obligations shall be deferred for a period commensurate with the time lost due to such circumstances.

9. Final provisions.

9.1. The Agreement comes into force from the moment of the Offer acceptance in accordance with the paragraph 1.1. of the Offer and shall be valid for 1 (one) year.

9.2. The Operator has the right to terminate the Agreement at any time on its own initiative by sending a notification to the Client’s e-mail address, specified during the Order.

9.3. For complaints, the Client should call the Support service: +7 (499) 715-42-05 or +7 (800) 511-55-63 or send his complaint directly to the Operator in written form .

9.4. All disputes of the parties arising out of this Agreement shall be resolved through correspondence and negotiations with a mandatory pre-trial (pre-action) procedure. In case of failure to reach agreement between the parties through negotiations within sixty (60) calendar days following receipt of a written claim by the other party, the dispute shall be submitted to the court at the location of the Operator.

9.5. If a provision of this Agreement becomes invalid in any jurisdiction, it shall not affect the validity of the remaining provisions hereof.

9.6. The Operator and the Client have agreed that the Operator does not provide the Client with a Service charge invoice by default. Service charge invoices are delivered to the Client upon request.

9.7. By accepting this Offer, the Client confirms that he agrees to the terms of the «Tutu.ru Bonus» loyalty program and agrees to participate in it. The «Tutu.ru Bonus» loyalty program is available on the Website at http://www.tutu.ru/2read/info/loyalty_program_agreement/.

The Client can refuse to participate in the «Tutu.ru Bonus» loyalty program at any time. To do this, he needs to enter in the Personal account on the Website, then in the «Personal data and settings» page, and then click on the " Refuse to participate in the loyalty program" button (an appeal is formed for refusal to participate in the «Tutu.ru Bonus» loyalty program).
